Applicable Laws, Customer Transactions & Payments
1. Applicable Laws of Bangladesh
Fictive Technology operates in Bangladesh and intends that its website, products, sales, services and commercial transactions comply with applicable laws and regulations of Bangladesh.
These Terms & Conditions, together with any quotation, purchase order, invoice, warranty document, service agreement or other applicable agreement, shall be interpreted subject to the laws of Bangladesh.
Applicable legal requirements may include, where relevant:
Contract Act, 1872;
Sale of Goods Act, 1930;
Consumer Rights Protection Act, 2009, where applicable;
Applicable tax, VAT and customs laws and regulations;
Applicable electronic commerce, digital transaction and information-technology requirements;
Bangladesh Bank rules, regulations and applicable payment-system requirements;
Applicable banking and financial transaction requirements; and
Other laws and regulations applicable to the relevant product, service or transaction.
Nothing in these Terms & Conditions is intended to exclude, restrict or override any mandatory right or legal protection that cannot lawfully be excluded or restricted under applicable law.
2. Customer and Business Transactions
Fictive Technology may provide products and services to:
Individual customers;
Companies;
Corporate organizations;
Banks and financial institutions;
Government organizations;
Educational institutions;
NGOs;
Hospitals and healthcare organizations;
Retail businesses;
Industrial organizations; and
Other legally recognized organizations or entities.
For corporate, institutional and project-based transactions, the applicable quotation, purchase order, work order, invoice, agreement or contract may contain additional terms that apply to that particular transaction.
Where a specific written agreement exists, the agreed commercial and technical terms of that agreement will apply to the extent permitted by applicable law.
3. Customer Information and Verification
Fictive Technology may request information reasonably necessary to process an order, quotation, delivery, installation, warranty claim, corporate account or payment.
For corporate or institutional transactions, we may request information such as:
Company or organization name;
Registered/business address;
Contact person;
Phone number;
Email address;
Trade License or other business information where appropriate;
BIN/TIN information where required;
Purchase Order or Work Order;
Billing and delivery information; and
Other information reasonably necessary for the transaction.
Customers are responsible for providing accurate and complete information.
4. Bank and Financial Institution Transactions
Customers may make payments through applicable bank transfer, corporate banking, payment gateway, card, mobile financial service or other payment methods made available or accepted by Fictive Technology.
Where payment is made through a bank or financial institution, the transaction may be subject to the rules, verification procedures, security requirements and processing times of the relevant bank, financial institution or payment service provider.
Fictive Technology is not responsible for delays, rejection, reversal, suspension or failure of a payment caused by a customer's bank, card issuer, payment provider, mobile financial service provider or other third party, except where such responsibility arises under applicable law.
5. Payment Confirmation
An order or service will not be considered fully paid until the applicable payment has been successfully received and verified by Fictive Technology or the relevant authorized payment provider.
Customers should retain payment receipts, transaction references, bank advice, payment confirmations or other evidence of payment until the transaction has been completed.
Fictive Technology may request reasonable payment verification where necessary to prevent fraud, payment errors or unauthorized transactions.
6. Payment Reversals and Chargebacks
If a payment is reversed, disputed, cancelled or charged back through a bank, card issuer, payment gateway or other payment provider, Fictive Technology may temporarily suspend the related order, delivery, installation or service while the transaction is investigated.
Where appropriate, the customer may be required to provide supporting information regarding the transaction.
Any refund or adjustment will be handled according to the applicable order terms, payment-provider procedures, warranty/return policy and applicable law.
7. Taxes, VAT and Government Charges
Applicable VAT, taxes, duties, delivery charges, customs charges or other government-imposed charges may apply depending on the product, customer, transaction and delivery arrangement.
Where applicable, Fictive Technology may issue invoices, VAT documents or other transaction documents in accordance with applicable requirements.
For imported or project-specific products, customs duties, taxes and other charges may be included in or excluded from the quoted price depending on the terms stated in the quotation.
8. Corporate and Institutional Procurement
For corporate, banking, financial, government and institutional procurement, the customer may be required to provide an official Purchase Order, Work Order, Letter of Acceptance or other authorized procurement document.
Payment and delivery conditions for such transactions may differ from standard retail purchases.
Where a customer's procurement requirements conflict with these website Terms & Conditions, the terms of the mutually accepted written contract, quotation or purchase order will govern that specific transaction, subject to applicable law.
9. Fraud Prevention and Unauthorized Transactions
Fictive Technology reserves the right to delay, reject or cancel a transaction where there are reasonable grounds to suspect:
Fraud;
Unauthorized payment;
Identity misuse;
Payment manipulation;
False business information;
Unauthorized use of a corporate account;
Suspicious transaction activity; or
Other unlawful activity.
Where legally required, information may be provided to the relevant bank, payment provider, financial institution, law-enforcement authority or regulatory authority.
10. Electronic Communications and Records
Customers agree that quotations, invoices, order confirmations, payment confirmations, delivery information, warranty documents and other business communications may be provided electronically through email, website forms, messaging platforms or other agreed communication channels.
Electronic records may be retained by Fictive Technology for business, accounting, warranty, contractual, tax, regulatory and legal purposes.
11. Disputes
Fictive Technology encourages customers to contact us first to resolve any transaction-related issue through good-faith communication.
Where a dispute cannot be resolved through mutual discussion, the matter may be addressed through the applicable dispute-resolution and legal procedures available under the laws of Bangladesh.
Nothing in this section prevents a customer from exercising any mandatory legal right or remedy available under applicable law.
12. No Exclusion of Mandatory Legal Rights
These Terms & Conditions are intended to establish the commercial framework for using Fictive Technology's website and purchasing its products and services.
Nothing contained in these Terms & Conditions shall be interpreted as:
Removing a customer's mandatory statutory rights;
Excluding liability that cannot legally be excluded;
Preventing a customer from exercising a legal remedy available under Bangladesh law; or
Restricting any protection that must legally be provided to a customer.
Where any provision of these Terms & Conditions conflicts with a mandatory provision of applicable Bangladesh law, the mandatory legal provision shall prevail.
